Terms of Service

These draft terms govern access to the RoundUp Balance pilot operated by Round Up LLC.
The service
RoundUp Balance lets a participating merchant offer a customer the option to pay a whole-dollar amount and record the difference as merchant-issued store credit linked to the customer’s phone number. A returning customer may apply eligible credit while leaving a whole-dollar amount to pay.
Merchant-issued value
Balances are obligations of the participating merchant, not deposits held by Round Up LLC. They are not bank accounts, general-purpose payment instruments, or government-insured funds. Unless the merchant expressly states otherwise, a balance is usable only with the merchant that issued it. Cash redemption will be provided when required by applicable law.
Customer choice and value
Participation must be optional and clearly presented at checkout. Customers receive the full amount shown as credited change. Round Up LLC’s application fee is charged separately to the participating merchant and is not deducted from the customer balance.
Merchant responsibilities
Merchants are responsible for accurate purchase data, honoring valid balances, processing appropriate refunds and reversals, training staff, providing required disclosures, complying with applicable stored-value, consumer-protection, tax, privacy, and payment laws, and using supported point-of-sale systems.
Refunds and corrections
Merchants may reverse credits or redemptions associated with refunded, voided, duplicated, or erroneous transactions. If a previously redeemed amount cannot be restored immediately, later credits may be adjusted as disclosed to the merchant and customer.
Acceptable use
Users may not misuse the service, access another person’s balance without authorization, manipulate transactions or fees, introduce malicious code, interfere with integrations, or use the service for unlawful activity.
Availability and changes
The service may be changed, suspended, or discontinued. Integrations depend on third-party platforms such as Clover, and their availability is not guaranteed. We may update these terms with notice appropriate to the change.
Disclaimers and liability
To the maximum extent permitted by law, the pilot is provided “as is” without warranties of uninterrupted or error-free operation. Any limitations of liability, indemnities, dispute procedures, and governing-law provisions must be finalized with counsel before commercial launch; nothing in these terms limits rights that cannot legally be waived.
